16. Disclaimers of warranties
THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IANGIE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

17. Limitation of liability and indemnification
17.1 Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IANGIE, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT IANGIE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, iAngie’s liability shall be limited to the fullest extent permitted by law.
17.2 Indemnification
You agree to defend, indemnify, and hold harmless iAngie, Timefull LLC, and its members, managers, officers, employees, agents, contractors, licensors, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from:

iAngie reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.
18. Common provisions
18.1 Entire agreement
These Terms, together with the Privacy Policy and any supplemental terms or policies referenced herein, constitute the entire agreement between you and iAngie regarding your use of the Services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
18.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions.
18.3 Waiver
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. iAngie’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
18.4 Assignment
You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of iAngie. iAngie may assign these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
18.5 Force majeure
iAngie shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, power failures, internet or telecommunications failures, or third-party service provider outages.
18.6 Headings
The section headings in these Terms are for convenience only and have no legal or contractual effect.
19. Changes to these Terms
iAngie reserves the right to modify or replace these Terms at any time at its sole discretion. If we make material changes, we will provide notice by: (a) posting the updated Terms on the Site with a revised “Last Updated” date, and (b) sending a notice to the email address associated with your account, where applicable.
Material changes will become effective thirty (30) days after posting, unless otherwise specified. Non-material changes are effective immediately upon posting. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Services.
20. Governing law and dispute resolution
20.1 Governing law
These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws principles.
20.2 Binding arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms, or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration administered by JAMS (or a mutually agreed-upon alternative arbitration provider) in accordance with its Streamlined Arbitration Rules and Procedures.
The arbitration shall be conducted by a single arbitrator. The seat of arbitration shall be Los Angeles, California. Judgment on the arbitration award may be entered in any court having jurisdiction thereof.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights.
20.3 Class action waiver
YOU AND IANGIE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a class, collective, or representative proceeding.
20.4 Small claims exception
Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the jurisdictional limits of such court.
20.5 Opt-out
You may opt out of the arbitration and class action waiver provisions by sending written notice to iAngie within thirty (30) days of first accepting these Terms. The notice must include your full name, mailing address, and a clear statement that you wish to opt out. Notices should be sent to the mailing address in Section 21.
